About the role:

We’re seeking a forward-thinking Commercial Legal Counsel to play a pivotal role in supporting and shaping the business. You will provide pragmatic, commercially focused legal advice across a wide range of matters, ensuring that the business operates effectively within legal and regulatory frameworks.

In this role, you will take ownership of drafting, reviewing, and negotiating commercial contracts while working closely with stakeholders across the organisation to manage legal risk, drive strategic initiatives, and strengthen governance and compliance frameworks. You will also collaborate with external counsel when needed and provide support to the wider legal team on corporate, regulatory, and dispute-related matters.

What you’ll do:

• Draft, review, and negotiate a wide range of commercial contracts, including supply, franchise, and technology agreements.
• Provide practical, business-focused legal advice across multiple functions, ensuring compliance with legal and regulatory requirements.
• Partner with internal stakeholders to understand needs and deliver effective legal solutions.
• Support senior legal team members on strategic projects and complex matters.
• Conduct commercial and corporate due diligence for potential acquisitions and manage post-completion contract integration or terminations.
• Oversee and improve contract management processes, templates, and playbooks for efficiency.
• Contribute to corporate governance, compliance initiatives, and legal best practices, including support for company secretarial matters.
• Support data protection compliance activities, including handling queries in collaboration with the external Data Protection Officer (DPO)
• Identify and communicate legal and commercial risks, offering practical mitigation strategies.
• Monitor relevant legal and regulatory developments and proactively advise the business.
• Provide legal input on strategic projects, new business initiatives, and broader corporate matters.
• Maintain accurate legal records and contribute to reporting on legal matters and workload.

What we are looking for:

• Post-qualification experience in commercial and/or corporate law, with proven expertise in drafting, reviewing, and negotiating commercial contracts
• Commercial Legal counsel ideally with additional corporate/M&A experience
• Understanding of corporate governance, compliance frameworks, and legal risk management
• Experience providing practical, business-focused legal advice across commercial, corporate, and regulatory matters
